Terms of commission

These terms apply when you ask Panelmatrixbase Analytics to compose, audit, refresh, or facilitate a board. By sending a briefing, paying a deposit, or signing a quote, you accept them. If a signed quote states a different particular — date, fee, page count — that particular wins over this page.

The parties

The studio is Panelmatrixbase Analytics, working from Level 11, 61 Kazbegi Avenue, Tbilisi 0160. You are the organisation named on the quote. Individuals who write to us without naming an organisation do so as themselves.

The work

We compose printed executive KPI dashboards and related sittings as described on this site. We do not supply software, licences, hosting, or a login. Delivery is the printed run, the paginated PDF, and any letter named in the quote. Time estimates assume a close that arrives by the hour we agree.

Acceptance of drafts

A proof is accepted when you write that it may go to press, or when five working days pass after delivery of the proof without written objection. Quiet is acceptance. Later taste changes are a new sitting.

Intellectual property

You own the figures; they came from your ledgers. We own the composition — the column grammar, the headline layout, the house rules — unless a quote assigns it. You may reproduce the finished pack for the named directors and for your statutory auditors. You may not sell the layout, set it as a house style for other entities we did not sit, or put our name on a pack we did not sign.

Confidentiality

Packs, extracts, and circulation lists are kept for the engagement and then as long as Georgian bookkeeping and dispute periods require. We do not use your figures in our journal without written leave, and even then we anonymise unless you ask to be named.

Liability

We are liable for careless composition: a figure we copied wrongly from an extract you gave us, a missing page in a run we collated, a briefing we failed to attend without cause. We are not liable for decisions the board takes, for a late close, or for extracts that two of your own departments cannot reconcile. Our liability for any commission is capped at the fees paid for that commission. Nothing here limits liability that Georgian law does not allow to be limited, including for wilful misconduct.

Force and delay

Power cuts, press breakdowns, and courier disruption in Tbilisi may move a delivery by a working day. We will telephone the secretary. A meeting date you bring forward inside three weeks of a first board is not our delay.

Governing law

These terms are governed by the law of Georgia. The courts of Tbilisi have jurisdiction, without prejudice to any mandatory consumer venue that the law of Georgia grants you.
