What the finance committee annex is for — and what it is not

Georgian finance committees often sit the afternoon before the board. They want the reconciliations, the aged lists, the covenant walk-forward. Those pages are honest work. They are also fatal if they migrate onto the main pack.

Our rule is simple: the annex is numbered, referenced from the leaves, and capped at the length of the pack itself. If the annex grows past that, something on the headline sheet is pretending to be simpler than it is, or someone is hiding a second board in the back.

We bind the annex separately so it can stay in the bag when the full board sits. Independent directors who want it can ask. Most do not. That is not a slight. It is the division of labour the calendar already implies.

If your committee currently receives the same stack as the board, say so at the sitting. We will cut two runs, not one thick compromise.
